What an NDA and an SLA are

Both are ordinary business agreements. They are often signed together, and they do different jobs.

  • The NDA.

A non-disclosure agreement, also called a confidentiality agreement, says what information one business shares with another, what the other side may do with it, who else may see it, and how long it must stay confidential. It is mutual when both sides share, and one-way when only one side does.

  • The SLA.

A service level agreement sets the standard an ongoing service has to meet: what is covered, how quickly the provider responds and fixes a fault, how the service is measured and reported, and what happens when a level is missed.

  • The service agreement.

The main contract between a provider and a client: the scope of the work, fees and invoicing, warranties, liability, and how the agreement ends. An SLA usually sits beside it and adds the levels the service is measured against.

When a business needs one

  • Before you meet a possible partner, supplier or buyer and both sides will show prices, plans or customer lists.

  • When a contractor, developer, consultant or possible investor will see your information, and you will not see theirs.

  • When you take on a provider, or take on a client, for work that runs over weeks or months.

  • When the service is ongoing and its timing matters: IT support, hosting, maintenance, cleaning, security or call-outs.

Start from a template, or use your own

Upload the NDA you already use and send it to sign, or start from one of ours. KuduDoc’s templates are written under South African law, so they suit an agreement governed by South African law best. Fill in the blanks in your browser, then send the agreement from the same place.

TemplateWhen to use itWhat it covers
Mutual NDABoth sides share information, so every duty runs both ways. The purpose, what is and is not confidential, who else may be told, disclosure the law requires, personal information, returning or destroying material, and how long the duties last. No intellectual property changes hands.
One-way NDAOnly you share, for example with a contractor, a supplier or a possible investor. The purpose, what counts as confidential, what the other side may do with it, how long the duty lasts, and how information is returned or destroyed.
Service agreementA provider and a business client agree the work.Scope and an annexure, fees and VAT, invoicing, late payment, changes, warranties, personal information, liability, termination and handover. Deliverables are licensed to the client, not assigned.

For an SLA, upload your own, or the one your client sends you, place the signing fields and send it like any other agreement. You can also start from the service agreement template, which covers the service itself, and keep the SLA beside it.

If your agreement will be governed by the law of another country, upload your own NDA or SLA and send that instead.

How sending, signing and sealing work

  1. Prepare it

Fill in a template, or upload your own PDF, and place the signing fields for each person.

  2. Set the signing order

Choose who signs and in what order: your director first, then the other company’s signatory, with a witness where you want one. Each person signs from their own link. The order is fixed once the agreement is sent.

  3. Reminders until it is signed

KuduDoc reminds anyone who has not signed, daily, every two days or weekly, and you can remind someone yourself at any time. The signing record shows when each link was sent, opened and signed.

  4. Sealed when the last person signs

The completed PDF is sealed with a SHA-256 fingerprint, a certification signature and a timestamp, and carries a seal id and a check link. Anyone you send it to can check their copy free on the public seal check.

A match on the seal check means the copy is unchanged since sealing. It does not say what the agreement means or whether it can be enforced. See signing order and reminders and what a KuduDoc seal records.

An NDA ends. An SLA comes up for review.

Agreements like these have dates that are easy to forget. Put them on the record and KuduDoc emails you before each one.

  • The day the confidentiality ends. Record it as the NDA’s expiry date, and KuduDoc emails you 90, 60, 30 and 7 days before, by default, or on the days you choose.
  • The SLA’s review date. Set a reminder on the day you pick, once or every year, with your own label: the annual review, a price review, or the last day to give notice before it renews.
  • Quiet hours. Reminders wait until your quiet hours end.
  • The new version beside the old. When you renew or amend an agreement, keep the new signed copy next to the one it replaces.

Kept together, for the whole company

  • One collection per supplier or client. The NDA, the service agreement, the SLA, the quotes and every amendment in one place in the Library, each signed copy with its signing record.
  • Your team, with the access you give. Business holds up to 10 people. Each person sees the records you give them.
  • One NDA, sent to many people. On Professional and Business, send an agreement saved as a template to a list of people from a spreadsheet, each with their own copy and link, for example every contractor on a project.
  • Your brand on the letters and the certificate. On Business, your logo and colour go on the signing emails and on the certificate page of each sealed agreement.
  • A company review first. On Business, sending and sealing open once we have reviewed your company details.

What is the difference between an NDA and an SLA?

An NDA protects information: it says what one side shares, what the other may do with it and for how long. An SLA sets the standard of an ongoing service: response and repair times, how the service is measured, and what happens when a level is missed. Many businesses sign both with the same supplier, together with a service agreement.

Do I need a mutual or a one-way NDA?

Use a mutual NDA when both sides will share confidential information, for example in partnership talks. Use a one-way NDA when only you share, for example with a contractor or a possible investor. KuduDoc has a template for each.

Can an NDA or an SLA be signed electronically?

KuduDoc signatures are ordinary electronic signatures. Many countries accept them for ordinary commercial agreements such as an NDA, a service agreement or an SLA, but rules differ, so check the law that governs your agreement.

Can I use my own NDA or SLA?

Yes. Upload your own PDF, place the signing fields and send it, on any plan. On Professional and Business you can save it as a template, with its fields, roles and signing order, and use it again.

Which law do KuduDoc’s templates follow?

South African law. Each template names South African law as the law that governs the agreement, so it suits an agreement governed by South African law best. For an agreement under another country’s law, upload your own NDA or SLA instead.

Does KuduDoc give legal advice?

No. The templates are a starting point written in plain language. For an agreement that matters to your business, ask your attorney to read it before you send it.

What does it cost?

The template library is on Professional, $12 a month per occupied seat, and Business, $18 a month per occupied seat, each with a 14-day trial and no card needed to start. Documents you have already sent are not affected by a plan change. Compare plans.
